Assignment & Assumption Agreement

We have received an executed Assignment and Assumption Agreement (the
"Assignment Agreement") by and among Allied Waste Industries, Inc. ("Allied
Industries"), Allied Waste North America, Inc. ("Allied North America") and
Enron North America Corp. ("ENA") dated as of February 1, 2001. Such
Assignment Agreement assigns certain trades entered into between Allied
Industries and ENA from Allied Industries to Allied North America.
