The below listed companies are being considered for
dissolution/cancellation. Please let me know by Friday, September 8, 2000 if
there is any reason not to terminate. If I receive no responses, we will
proceed with the dissolutions/cancellations.

ENACT II, L.L.C., a Delaware limited liability company
WINRS LLC 1999-1, a New York limited liability company
