Subject: EnronOnline Password Application Signatories

We have received the fully executed Unanimous Written Consent of Managers of
EnronOnline, LLC dated 11/6/00, effective as of 10/11/00, which appoints
Amita Gosalia, Dale Neuner and Sheri Thomas as agents and attorneys-in-fact
to execute Password Applications on behalf of EOL. This resolution will
expire one year from the date of its effectiveness. When you execute, please
sign as "Agent and Attorney-in-Fact". The original will be filed in the
minute book of EnronOnline maintained in the Corporate Secretary's Office on
the 48th floor, and a copy will be provided to Lisa Lees and Amita Gosalia.
